been waived by any act of or acquiescence on the part of Licensor, its agents, or employees,

but only by an instrument in writing signed by an authorized representative of Licensor. No

waiver by Licensor of any provisions of this Agreement shall constitute a waiver of any other

provision or of the same provision on another occasion. This Agreement may be amended

only in writing signed by each of the parties hereto. This Agreement is personal to You,

and You may not assign or sublicense its rights or obligations under this Agreement in

any way to any third party. This Agreement shall be binding upon and inure to the benefit of

the parties hereto and their respective permitted successors and assigns.
